Agreement to Terms

Welcome to Kweetee ("we," "us," "our," or the "Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Kweetee regarding your access to and use of our website (kweetee.com), mobile applications, and all related services, features, content, and functionality (collectively, the "Services").

By accessing or using Kweetee, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last Updated" date and, where appropriate, through email or Platform notifications. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

Definitions

For the purposes of these Terms, the following definitions apply:

• "Platform" refers to the Kweetee website, mobile applications, and all related services.
• "User," "You," or "Your" refers to any individual or entity that accesses or uses the Platform.
• "Seller" refers to a User who lists products, services, or advertisements on the Platform.
• "Buyer" refers to a User who purchases or expresses interest in products, services, or listings on the Platform.
• "Advertiser" refers to a User who purchases advertising packages on the Platform to promote their products, services, or content.
• "Promoter" refers to a User with a significant social media following who promotes the Platform to earn referral commissions.
• "Digital Products" refers to electronically deliverable items such as ebooks, software, templates, and online courses.
• "Physical Products" refers to tangible goods that require physical delivery or pickup.
• "Services" refers to intangible offerings such as consulting, hair styling, plumbing, and other professional services.
• "Cashback" refers to the daily revenue share distributed to eligible Advertisers from the revenue pool.
• "Coins" refers to the internal unit of value used to calculate revenue share distributions, where $1 = 100 coins.
• "Benefit Cap" refers to the maximum return an Advertiser can receive from cashback, determined by their country tier.
• "Content" refers to all text, images, videos, audio, data, and other materials uploaded, posted, or transmitted through the Platform.

Account Registration & Eligibility

Registration Requirements

To use certain features of Kweetee, you must register for an account. During registration, you agree to provide accurate, current, and complete information, including:

• Full legal name
• Valid email address
• Valid phone number
• Country and state of residence
• Occupation and line of business
• Hobbies and interests
• Perform KYC for digital products sellers to guide against copyright
• A secure password meeting our minimum security requirements

Eligibility

You may use Kweetee only if:

• You are at least 18 years of age.
• You have the legal capacity to enter into binding contracts.
• You are not barred from using the Platform under applicable laws.
• You have not previously been suspended or removed from the Platform.
• You provide truthful and accurate registration information.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Notify us immediately of any unauthorized use of your account or any other breach of security.
• Use a strong, unique password and not share it with anyone.
• Complete email verification and any additional verification steps we require.
• Not create multiple accounts for fraudulent purposes or to circumvent platform rules.

We implement email OTP verification for new devices, withdrawals, password resets, and sensitive account changes to protect your account. You agree to complete these verification steps when prompted.

Account Termination

We reserve the right to suspend or terminate your account, with or without notice, for any reason, including but not limited to:

• Violation of these Terms.
• Fraudulent, abusive, or illegal activity.
• Creation of multiple accounts for deceptive purposes.
• Failure to verify your identity when requested.
• Engaging in referral abuse, revenue-sharing manipulation, or marketplace fraud.
• Posting prohibited content or making prohibited or misleadingclaims in advertisements.

Upon termination, your right to use the Platform immediately ceases. We may retain certain information as required by law or for fraud prevention purposes.

Marketplace Rules

Listing Products & Services

When listing products or services on Kweetee, you agree to:

• Provide accurate, truthful, and complete descriptions of your offerings.
• Set fair and honest prices.
• Upload clear images or videos (up to 7 files, max 2MB for images, 50MB for videos).
• Select the correct category for your listing.
• Indicate whether you offer digital products, physical products, services, or a combination.
• For physical products, indicate your shipping capacity and target regions.

Prohibited Items & Content

You may not list, sell, or advertise the following on Kweetee:

• Illegal goods, counterfeit items, or stolen property.
• Weapons, ammunition, explosives, or hazardous materials.
• Drugs, controlled substances, or drug paraphernalia.
• Adult content, pornography, or sexually explicit materials.
• Hate speech, discriminatory content, or content promoting violence.
• Financial scams, pyramid schemes, or get-rich-quick schemes.
• Content with misleading income claims (e.g., "100% income guaranteed," "make passive income online," "earn $X daily").
• Items that infringe on intellectual property rights.
• Personal information of others without consent.
• Any item or content prohibited by applicable law.

Buyer-Seller Transactions

Digital Products: When a buyer purchases a digital product, payment is processed through the Platform. The Platform delivers the digital product to the buyer. Sellers receive earnings in their Sales Wallet, subject to a 3-day dispute/refund window. After the dispute window, funds become available for withdrawal.

Physical Products: Buyers contact sellers directly to arrange purchase and delivery. Kweetee serves as a discovery and advertising platform. We do not process payments for physical products, handle shipping, or guarantee delivery. Buyers and sellers transact at their own risk.

Services: Kweetee does not process payments for services. Service providers and customers arrange and complete transactions directly outside the Platform. Kweetee functions solely as a discovery and advertising platform for services.

Reviews & Ratings

Verified buyers may leave reviews and ratings for sellers. You agree that:

• Reviews must be honest and based on actual transactions.
• You will not post fake reviews, manipulate ratings, or engage in review fraud.
• Reviews must not contain abusive, defamatory, or illegal content.
• We reserve the right to remove reviews that violate these Terms.

Disputes

For digital product disputes, buyers may open a dispute within the applicable dispute window. We will review evidence from both parties and issue a resolution. For physical products and services, disputes are the responsibility of the buyer and seller. Kweetee is not liable for disputes arising from direct transactions.

Advertising Terms

Advertisement Packages

Kweetee offers various advertising packages. By purchasing an advertisement, you agree to:

• Pay the full advertised price for the selected package.
• Provide accurate advertisement content that complies with our content policies.
• Not make prohibited claims such as guaranteed income, unrealistic earnings, or deceptive business promises.
• Accept that all advertisement content is subject to review and approval.

Cashback & Revenue Sharing

Advertisers on Kweetee may be eligible for daily cashback from the revenue pool, subject to the following:

• Coin System: $1 = 100 coins. The number of coins you receive depends on your country or region.
• Benefit Cap: Your total cashback is capped at your country tier percentage of your advertisement purchase value. Once you reach your cap, you stop receiving cashback until you purchase a new qualifying advertisement.
• Daily Distribution: Revenue is pooled daily and distributed proportionally based on eligible coins. Distribution occurs after the pool cycle closes.
• Claim Requirement: You must log in and view a claim advertisement to receive your daily revenue share. Unclaimed revenue accumulates for up to 7 days, after which it stops accumulating.
• Coin Deduction: As you receive revenue, your coins reduce, but your daily cashback percentage remains based on your original ad purchase value until coins are exhausted.

Ad Performance & Expiration

• Advertisements run for the purchased duration or until the purchased number of views is reached, whichever comes later.
• If your ad duration expires before reaching the purchased views, the ad continues running until the views are achieved.
• If you reach your purchased views before the duration expires, the ad continues running with reduced impressions until the duration ends.
• Expired ads remain in the system and are discoverable through direct search but receive reduced priority.

Geographic Targeting

Advertisers may target specific regions for their ads. For physical products and services, ads are primarily shown to users in or near the advertiser's location, expanding geographically if local inventory is limited. You must accurately indicate your shipping capacity and target regions.

Referral Program

Referral Structure

Kweetee operates a two-level referral system:

• Direct Referrer (Level 1): The user who directly referred a new member.
• Upline Referrer (Level 2): The direct referrer of your direct referrer.

Commission Structure

First Advertisement Purchase:

• 40% to Direct Referrer
• 13% to Upline Referrer
• 2% Cashback to the new Advertiser
• 30% to Revenue Pool
• 15% to Platform

Subsequent Advertisement Purchases:

• 10% to Direct Referrer
• 5% to Upline Referrer
• 2% Cashback to the Advertiser
• 40% to Revenue Pool
• 43% to Platform

Badge Rewards

Users may earn badges based on the number of active direct downlines:

• Bronze Badge (10 active downlines): Additional 10% on every referral commission received.
• Silver Badge (50 active downlines): Additional 15% on every referral commission received.
• Gold Badge (100 active downlines): Additional 20% on every referral commission received.
• Octal Badge (500 active downlines): 50% commission from direct downlines (instead of 40%).
• Platinum Badge (1,000 active downlines): 50% from direct and 20% from indirect downlines.

Badge benefits apply only to new users brought in after earning the badge and only to their first advertisement purchase.

Referral Abuse Prohibitions

The following activities are strictly prohibited and will result in commission reversal, account restriction, or termination:

• Self-referral or creating multiple accounts to refer yourself.
• Using fake, stolen, or fraudulent identities to create referral accounts.
• Paying or incentivizing others to create accounts solely for referral commissions.
• Using automated systems or bots to generate referrals.
• Spamming or unsolicited promotion of referral links.
• Misrepresenting Kweetee or making false promises to attract referrals.

Referral relationships are permanent and cannot be changed by users. Only administrators may modify referral structures in exceptional circumstances.

Wallet, Payments & Withdrawals

Payment Processing

All payments on Kweetee are processed through Flutterwave and Paystack. By making a payment, you agree to their respective terms of service. We convert all local currency payments to USD ($) internally for platform calculations.

Wallet System

Kweetee maintains separate wallet tracking for:

• Earnings Wallet: Holds revenue share earnings, referral commissions, and cashback.
• Sales Wallet: Holds earnings from digital product sales.
• Pending Balance: Funds awaiting the dispute/refund holding period.
• Available Balance: Funds available for withdrawal.

Withdrawals

To request a withdrawal, you must:

• Have a verified email address and completed profile.
• Have a valid bank account registered in your name.
• Meet the minimum withdrawal threshold (₦2,000 for Nigeria, $2 for global users).
• Complete email OTP verification for each withdrawal request or set up withdrawal pin.
• Have funds in your Available Balance.

Withdrawal Processing: Withdrawals may be processed manually, through a hybrid system, or automatically, depending on the Platform's operational mode and your risk profile. High-risk withdrawals may require additional administrative review.

Country Lock: Once you complete your first successful withdrawal, your account country is locked. Changing your country after financial activity requires administrative approval.

Holding Period: During the initial platform phase, earnings remain in Pending Balance for 3 days before moving to Available Balance. This period is subject to change by administrators.

Withdrawal Restrictions

We reserve the right to delay, hold, or reject withdrawals if:

• Suspicious activity is detected on your account.
• You have not purchased advertisements for over 90 days but continue receiving referral commissions (you will be prompted to purchase ads to continue withdrawing). This is to regulate the platform against any abuse.
• Your account is under investigation for fraud or policy violations.
• Required verification is incomplete.

Revenue Sharing Terms

Nature of Revenue Sharing

The Kweetee revenue sharing system is designed to give back a portion of advertising revenue to participating advertisers. It is not an investment scheme, guaranteed income program, or financial product. Participation is subject to the following terms:

• Revenue sharing is funded exclusively from advertisement purchases. Marketplace sales do not contribute to the revenue pool.
• Daily distributions depend on the total revenue collected in the pool and the number of eligible participants.
• There is no guarantee of daily distributions. Pool amounts may vary significantly from day to day.
• Your share is calculated proportionally based on your eligible coins relative to the total eligible coins in the system.
• New advertisers do not participate in the pool cycle generated before their advertisement purchase. They become eligible the day after their first ad(s) purchase(s).

Calculation Example

Activity Requirements

To maintain eligibility for revenue sharing, you must:

• Log in regularly to claim your daily revenue share.
• View the claim advertisement each day you wish to claim.
• Not exceed your benefit cap for your current advertisement cycle.
• Maintain an active, non-suspended account.

If you do not log in for more than 7 days, revenue share accumulation stops. You will receive reminder emails from day 3 to day 7, and a final notification on day 8. This does not affect your referral commissions.

Sustainability & Adjustments

We reserve the right to adjust revenue sharing parameters, including but not limited to:

• Pool contribution percentages.
• Distribution formulas.
• Eligibility requirements.
• Benefit caps and country tier percentages.
• Coin values and calculations.

Any such adjustments will be communicated to users in advance where feasible. The long-term health and sustainability of the Platform take priority over any individual's revenue share expectations.

Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Fraud & Abuse

• Creating multiple accounts or using fake identities.
• Engaging in self-referral or referral fraud.
• Manipulating advertisement views, clicks, or engagement metrics.
• Attempting to exploit bugs or vulnerabilities in the Platform.
• Using bots, scripts, or automated tools to interact with the Platform.
• Reversing chargebacks after receiving products or services.

Security Violations

• Attempting to gain unauthorized access to any part of the Platform or other users' accounts.
• Interfering with or disrupting the Platform's servers or networks.
• Circumventing or disabling any security features.
• Harvesting or collecting user data without consent.

Content Violations

• Posting false, misleading, or deceptive content.
• Posting content that infringes on intellectual property rights.
• Posting harassing, threatening, defamatory, or abusive content.
• Posting content that promotes illegal activities.
• Posting advertisements with prohibited financial claims.

Financial Misconduct

• Attempting to withdraw funds that were obtained fraudulently.
• Submitting false or inaccurate bank account information.
• Engaging in money laundering or other financial crimes.
• Colluding with other users to manipulate the revenue sharing system.

Intellectual Property

Kweetee's Intellectual Property

All content, features, and functionality on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, software, and code, are the exclusive property of Kweetee or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Platform without our prior written consent.

Your Content

By uploading, posting, or transmitting Content to the Platform, you grant Kweetee a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your Content in connection with operating and promoting the Platform.

You represent and warrant that:

• You own or have the necessary rights to all Content you post.
• Your Content does not infringe on the intellectual property rights of any third party.
• Your Content complies with these Terms and all applicable laws.

You retain ownership of your Content. However, we reserve the right to remove any Content that violates these Terms or applicable laws.

Disclaimers & Limitation of Liability

Platform "As Is"

Kweetee is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Platform will be uninterrupted, timely, secure, or error-free.
• Warranties regarding the accuracy, reliability, or completeness of any content on the Platform.

No Investment Guarantee

Kweetee is an advertising and marketplace platform, not an investment platform. Revenue sharing, cashback, and referral commissions are promotional features designed to reward participation, not guaranteed returns. We make no promises regarding:

• The amount or frequency of revenue share distributions.
• The profitability of advertising on the Platform.
• The success of any product, service, or business promoted on the Platform.
• The value of coins or any internal platform currency.

Limitation of Liability

To the fullest extent permitted by law, Kweetee, its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or goodwill.
• Damages arising from transactions between buyers and sellers.
• Damages arising from the quality, safety, or legality of products or services listed.
• Damages arising from unauthorized access to or alteration of your transmissions or data.
• Damages arising from errors, omissions, interruptions, or delays in the Platform's operation.

In no event shall our total liability to you exceed the amount you have paid to Kweetee in the 12 months preceding the claim, or $100, whichever is greater.

Third-Party Transactions

Kweetee is not a party to transactions between buyers and sellers of physical products or services. We do not guarantee the quality, safety, or legality of items advertised, the truth or accuracy of listings, or the ability of sellers to sell or buyers to buy. You acknowledge that you transact with other users at your own risk.

Indemnification

You agree to indemnify, defend, and hold harmless Kweetee, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use of the Platform or any Content you post.
• Your violation of these Terms or any applicable law.
• Your violation of any third-party right, including intellectual property or privacy rights.
• Any dispute between you and another user.
• Any fraud, abuse, or misconduct committed by you.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act of Nigeria. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

Notwithstanding the foregoing, Kweetee may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

Termination & Suspension

We may suspend or terminate your access to the Platform, in whole or in part, at any time and for any reason, including but not limited to violation of these Terms, fraudulent activity, or legal requirements.

Upon termination:

• Your right to use the Platform immediately ceases.
• Any pending withdrawals may be cancelled or held for review.
• Your listings and advertisements may be removed.
• We may retain certain information as required by law or for fraud prevention.
• Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, indemnification, and limitation of liability.

You may terminate your account at any time by contacting our support team. Note that termination does not absolve you of any obligations or liabilities incurred prior to termination.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Kweetee regarding your use of the Platform and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Kweetee.

Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.

Notices

We may provide notices to you via email, Platform notifications, or postal mail. You agree to keep your contact information up to date. Notices sent to the email address associated with your account shall be deemed received 24 hours after sending.
